Nscale's Prospectus: Anthropic Holds an Option, Not an Order

ENTRY 139 · · 📜 Option, not receivable · Cynthia Zhang · FutureX Capital · 中文原文 · Chinese original

Neocloud TCV is an option, not a receivable. Per Nscale's Sep 18 S-1, Anthropic's up to $44.6B comes in four tranches with no fees payable before Anthropic's acceptance, and Nscale has no binding commitment for any of the financings. As of Aug 31, $2.6B of $103.4B active and contracted TCV is active, 2.5% (author's calculation). Customer prepayment averages 23%; Anthropic's is zero.

Investors: value neocloud backlog on active plus financed TCV, not contracted TCV.

Founders: buying compute, pay on acceptance; selling it, do not sign below 20% prepayment.

Falsifier: from Sep 25 to Dec 31, 2026, per EDGAR (S-1/A, 8-K, 424B), binding financing commitments covering all four Anthropic tranches mark this wrong; still zero at the deadline, or a tranche terminated because financing did not land, verifies it.

Ledger update (Sep 29): Nscale's $3.36B pre-IPO convertible note did not mention Anthropic; no S-1/A on EDGAR, commitments still zero.

Disclosure: written and verified with Claude tools, so discount both ways; FutureX holds ByteDance (per the FT, Nscale's largest 2025 customer; the prospectus does not name it) and Mistral, and no position in Nscale, NVIDIA, Microsoft, Lambda, CoreWeave or Nebius.
