Anthropic's Listing Won't Open the IPO Window for Loss-Making Software Companies

ENTRY 145 · · 🔔 Bell, no window · Cynthia Zhang · FutureX Capital · 中文原文 · Chinese original

Even if Anthropic's listing goes well, loss-making VC-backed software companies won't get an IPO window before the end of June 2027 (an inference); what holds them back, also an inference, is the gap between private and public valuations. During SF Tech Week on the evening of Oct 7, Nasdaq's head of new listings said investors' bar has risen and software companies may wait until the frontier labs go public; on Oct 9 Renaissance Capital's Matt Kennedy said a successful Anthropic IPO would boost the rest of the pipeline. This entry departs on timing: even if Anthropic holds its offer price through its first quarter, these companies still won't list before the end of June 2027. Rates don't explain it either: in Q2 2026 the 10-year Treasury averaged 4.32% to 4.48% a month and the Renaissance IPO index rose 42%, yet VC-backed tech largely remained absent; of 9 VC-backed IPOs in Q3 2026, 8 were biotech and none was software (author's count). A lawyer at the same event said the bigger problem is that AI has pushed private valuations sky-high.

Investors: key application-layer funds' expected IPO distributions not to Anthropic's bell but to the next such company that publicly files an S-1 and prices at or above the bottom of its range, and ask GPs how much of their 2027 distributions rides on IPOs.

Founders: budget for no IPO before the end of June 2027 and move IPO-prep money to runway and M&A readiness.

Falsifier: one or more IPOs between Oct 11, 2026 and Jun 30, 2027 by a US-headquartered, VC-backed (not PE-controlled) software or internet company (frontier-model companies such as Anthropic and OpenAI, compute or data-center lessors, chip, biotech and energy companies excluded) with a GAAP operating loss in its latest full fiscal year, listed on NYSE or Nasdaq, raising at least $100M in the base deal and priced at or above the bottom of its final range, makes the call wrong, whether before or after Anthropic lists. It is verified only if Anthropic lists on or before Mar 31, 2027, closes at or above its offer price every trading day for 90 calendar days, and the count stays at zero; if OpenAI has not yet been listed for 90 calendar days by Jun 30, 2027, it is recorded as verified with the two-lab queue view not ruled out. A zero count with Anthropic breaking its offer price in its first quarter, or still unlisted on Mar 31, 2027, is recorded as untested; everything else stays pending until the final check on Jul 15, 2027, based on SEC EDGAR, cross-checked with Renaissance Capital; if sources are missing, a second check by Sep 30, 2027.

Disclosure: this diary is written with Claude, and Anthropic is a party to this call: it supplies application-layer companies (API), competes with them (Claude Code) and is a potential acquirer of them. FutureX holds Mistral AI and ByteDance, both Anthropic competitors at the model layer; Hugging Face, which Nvidia announced on Sep 3, 2026 it would acquire (not yet closed), an instance of the M&A exit this entry describes; and application-layer companies such as Genspark, Dify, Simular, Pixocial and Corgi. Read this entry with a discount in both directions. FutureX holds no direct or indirect stake in Anthropic or SpaceX (confirmed by the author from FutureX's records).
