Copyright Suits Kill the Listing Window, Not the Damages

Price copyright exposure from the offering calendar: Anthropic's public S-1 must be out at least 15 days before the roadshow, and an unquantifiable contingent liability moves the window and the price range. On Aug 28, 35 Sony- and Warner-affiliated publishers sued Anthropic, naming its two founders as individual defendants. The only public benchmark, the book case, settled at $1.5B for 482,460 works, $3,109 each (gross), 2.07% of the statutory cap.

Investors: watch whether the public S-1 lands before any settlement; destruction orders and founder liability are not priced per work.

Founders: data-sourcing receipts are fundraising material.

Falsifier: a delay or withdrawal of the offering because of these suits marks the call right; an on-schedule public S-1 with the offering unaffected downgrades it; arbiters are court final-approval filings and SEC EDGAR.

Ledger update (Sep 29): a Sep 25 note that the window had lapsed was premature and is corrected; EDGAR still showed no public S-1, and delays are attributed to a credit facility and Q3 financials, not the suits, so no hit and no downgrade.

Ledger update (Oct 2): the September window lapsed with no public S-1 on EDGAR; by the same rule, no hit and no downgrade. Per Bloomberg (Oct 1, citing people familiar), the roadshow could start the week of Nov 9, which by the author's count puts the public S-1 on EDGAR by about Oct 23 to 25.
