Is Anthropic's $44.6B Nscale contract a firm order or an option? Who bears the risk if it falls through?

Asked by:投资人·VC · Judged · 张倩 Cynthia Zhang · FutureX Capital

It is a conditional option, not an order. Anthropic's 'up to' $44.6 billion is split into four tranches: no fees are payable before acceptance, late tranches can be dropped, and either side may terminate without liability if financing does not close. Nscale itself says it has no binding commitment for any of that financing, and per the prospectus Anthropic's prepayment is zero.

Judgment

Consensus puts the risk in Nscale's customer concentration; the diary puts it in the contract's lopsided allocation of risk. If financing does not close, Anthropic loses nothing, and the first to be hurt are Nscale's IPO pricing and NVIDIA's supplier-financing exposure.

Facts

Nscale S-1 (2026-09-18, EDGAR): Anthropic up to $44.6 billion in four tranches; Exhibit 10.25 states 'no fees will be payable for a Tranche until after Anthropic's Acceptance', with key fields redacted; per the prospectus, weighted-average customer prepayment is 23% and Anthropic's is zero. NVIDIA subscribed $1 billion of non-voting shares and guarantees up to $860.3 million for the first five years of the Ward County, Texas lease (signed 2025-10-14).

What to do

For founders: if you buy compute, ask for these terms, payment on acceptance and the right to drop late tranches; if you sell compute, do not sign below 20% prepayment. For investors: re-anchor neocloud valuation from contracted TCV to active plus financing-covered TCV, and read the purchase-commitment notes first in Anthropic's S-1.

Falsifier (verbatim from the diary footnote)

(1) 'Anthropic tranches have no binding financing commitment': from 2026-09-25 through 2026-12-31, adjudicating source EDGAR (S-1/A, 8-K, 424B). If disclosed binding financing commitments (Qualifying Financing) cover all four Anthropic tranches, mark ✗ (current value: 0); if they cover one to three tranches, mark ⏳ and publish the number of tranches; if still 0 at expiry, or any tranche is terminated because financing did not close, mark verified. 'Zero-cost option' is judged separately: through 2027-06-30, if Anthropic's public S-1 (or an Nscale S-1/A amending Exhibit 10.25) lists this contract as a firm purchase obligation with prepayment, guarantee or funding duties, mark ✗; if Anthropic has not published an S-1 by then, Nscale's disclosure is the sole adjudicating source. Note: Nscale closing its financing does not change the zero cost on Anthropic's side, only the risk on Nscale's side; the two tests do not substitute for each other.
